Terms of sale

These terms apply to sales to businesses. They are written to be read, not to hide a surprise in clause 14. The order confirmation prevails where it differs, because that is the document both sides signed.

Last reviewed November 2026

1 · Scope #

These terms govern quotations and sales by Anhui Yoto Electric Technology Co., Ltd. to business customers. A consumer purchase is not offered through this site. Placing an order confirms acceptance of these terms unless an order confirmation states otherwise.

2 · Quotations and orders #

Quotations are valid for 30 days unless stated otherwise, and are subject to the configuration described in them. A binding contract arises on our written order confirmation, not on the enquiry or the quotation. Where the order confirmation and these terms differ, the order confirmation prevails.

3 · Minimum order #

One unit, on the models shown. The one-unit price is not the container price and we do not quote it as such. Freight on a single unit is usually the largest line in the landed cost, and we will show it separately.

4 · Delivery, Incoterms #

Delivery is EXW, FOB or CIF as stated in the order confirmation, interpreted under Incoterms 2020. Dates are estimates given in good faith and confirmed against the manufacturer’s build schedule. If a date moves, we tell you as soon as we know, not on the day of shipment.

5 · Price and payment #

Prices are exclusive of VAT and of destination taxes, duties and registration fees. The currency and payment schedule are stated in the order confirmation. Where a deposit is agreed, production or reservation of the build begins on receipt of it.

6 · Product description and certificates #

Vehicles are supplied according to the approved type named on the certificate of conformity for that vehicle. Certified values are those on the certificate, not those in any sales literature. Where this website distinguishes certified values from supplier declarations, that distinction forms part of the description.

What we do not warrant We do not warrant that a vehicle can be registered in any particular country. Registration is decided by the national authority against the certificate and the national rules. We supply the documents a registration file requires and will tell you, before the order, where we think the risk sits.

7 · Manufacturer and private label #

The manufacturer of record is the holder of the type-approval named on the certificate. A private-label nameplate may be fitted only where it remains consistent with that certificate. We will decline an order that requires a plate inconsistent with the certificate, because it would be refused at registration.

8 · Inspection and claims #

  1. Inspect the shipment on arrival, before signing the carrier’s document where the carrier permits it.
  2. Photograph any damage with the packaging in place.
  3. Notify us within 7 days of arrival, quoting the VIN.
  4. For a configuration or document error on our side, we correct it at our cost.
  5. For transit damage, the carrier claim runs alongside; the photographs decide it.

9 · Warranty #

Twelve months on parts from delivery, against defects in the part itself, subject to installation and use consistent with the model’s declared limits. Consumables, accident damage, unauthorised modification and fitting of non-approved components are excluded. Warranty parts are supplied; labour at your workshop is not reimbursed unless agreed in writing.

10 · Retention of title #

Title passes on receipt of payment in full. Risk passes according to the agreed Incoterm.

11 · Liability #

Our liability is limited to the invoice value of the goods concerned. We are not liable for loss of profit, loss of market, registration costs, storage or consequential loss. Nothing in these terms excludes liability that cannot lawfully be excluded.

12 · Force majeure #

Neither party is liable for delay caused by events outside its reasonable control, including export or import restrictions, port closure, epidemic control measures, or failure of a manufacturer’s supply. The affected party notifies the other and the delivery date is extended accordingly.

13 · Governing law and disputes #

These terms are governed by the laws of the People’s Republic of China. Disputes are referred to arbitration in Hefei, Anhui, China, in English, unless the order confirmation names another forum. Before arbitration, both parties agree to attempt resolution by correspondence for 30 days.

14 · Severability #

If a provision is held invalid, the remainder stays in force and the invalid provision is replaced by one that achieves its purpose as closely as the law allows.
